TW Empireline Logistics

Effective Date: October 17, 2026

This Independent Truck Dispatch Service Agreement outlines the general terms and conditions governing dispatch and administrative services provided by TW Empireline Logistics (“Dispatcher”) to authorized motor carriers, owner-operators, and fleet operators (“Carrier”).

By entering into a separate written dispatch service arrangement with TW Empireline Logistics, the Carrier agrees to the applicable terms established in that arrangement.

1. Purpose of Agreement

TW Empireline Logistics provides professional dispatch and administrative support services designed to help motor carriers manage freight operations efficiently.

Our services include locating available freight opportunities, assisting with freight rate negotiations, coordinating accepted loads, and managing related documentation.

TW Empireline Logistics operates as an independent dispatch service provider and does not provide freight transportation services.

We are a dispatch service only, not a freight broker or motor carrier. All services are performed subject to applicable transportation laws and the Carrier’s written authorization.

2. Scope of Dispatch Services

TW Empireline Logistics offers the following services:

2.1 Load Searching and Rate Negotiation

We assist authorized motor carriers in identifying suitable freight opportunities and negotiating competitive rates with freight brokers on their behalf.

Our goal is to help carriers reduce unnecessary downtime and improve operational efficiency.

2.2 Dedicated Lanes and Freight Opportunities

We help carriers explore available dedicated lanes and recurring freight opportunities based on their equipment, operating areas, and business preferences.

Direct shipper opportunities may be considered only where the proposed activities comply with applicable freight brokerage regulations and the scope of the Carrier’s authorization.

The availability of dedicated lanes or particular freight arrangements is not guaranteed.

2.3 Paperwork and Administrative Support

Our team assists with essential trucking documentation, including:

  • Rate confirmations
  • Invoice preparation
  • Detention documentation
  • Load coordination
  • Delivery paperwork
  • Related dispatch administration

2.4 Dispatch Communication and Support

We offer 24/7 dispatch assistance to support carrier operations, freight coordination, and communication concerning dispatched loads.

2.5 No Forced Dispatch

TW Empireline Logistics maintains a no forced dispatch policy.

Carriers retain the freedom to accept or reject freight opportunities according to their own operating preferences and business decisions.

3. Dispatch Service Fees

TW Empireline Logistics offers the following dispatch pricing:

Equipment TypeDispatch Fee
Semi Trucks6%
Box Trucks8%

Dispatch fees are calculated as a percentage of the gross line-haul freight charge for eligible completed loads handled through our dispatch services, unless a different calculation is expressly established in the Carrier’s signed agreement.

Separately itemized fuel surcharges, detention, layover, and other accessorial charges are excluded from the fee calculation unless otherwise agreed in writing.

Payment procedures, invoice due dates, and any additional authorized charges will be established in the individual Carrier Service Agreement.

All service fees are payable by the Carrier under the agreed payment arrangement.

4. No Forced Dispatch Policy

Carriers maintain full control over their transportation operations.

TW Empireline Logistics does not require carriers to accept loads they consider unsuitable.

Our dispatch team seeks freight opportunities based on the Carrier’s preferred routes, equipment availability, operating requirements, and commercial objectives.

No specific number of weekly loads or minimum freight volume is guaranteed.

5. Carrier Responsibilities

Carriers using TW Empireline Logistics dispatch services are responsible for:

  1. Maintaining valid motor carrier operating authority where required.
  2. Maintaining appropriate commercial automobile and cargo insurance.
  3. Complying with applicable FMCSA, DOT, federal, state, and local transportation regulations.
  4. Providing accurate carrier and equipment information.
  5. Maintaining qualified drivers and roadworthy vehicles.
  6. Complying with hours-of-service and transportation safety requirements.
  7. Reviewing and approving freight opportunities before accepting transportation commitments.
  8. Fulfilling all transportation obligations associated with accepted loads.
  9. Providing necessary paperwork for administrative processing.
  10. Paying dispatch fees according to the applicable written agreement.

The Carrier remains responsible for its transportation operations, drivers, vehicles, and regulatory compliance.

6. Dispatcher’s Responsibilities

TW Empireline Logistics is committed to providing professional dispatch services and shall:

  1. Perform authorized dispatch duties with reasonable care and professionalism.
  2. Search for freight opportunities consistent with the Carrier’s operating preferences.
  3. Assist with freight rate negotiations on the Carrier’s behalf.
  4. Communicate material load information accurately.
  5. Obtain the Carrier’s approval before committing to a load unless specific written booking authority has been granted.
  6. Assist with agreed trucking documentation and load coordination.
  7. Maintain reasonable confidentiality regarding nonpublic Carrier information.
  8. Avoid unauthorized freight brokerage activities.
  9. Disclose material conflicts of interest affecting dispatch services.

7. Independent Contractor Relationship

TW Empireline Logistics operates as an independent business providing dispatch and administrative support.

The Dispatcher is not an employee, business partner, or joint venture participant of the Carrier.

When expressly authorized in writing, the Dispatcher may act as the Carrier’s disclosed agent for specified dispatch-related administrative activities.

TW Empireline Logistics does not independently accept freight in its own name, assume transportation obligations, or allocate freight among motor carriers as a freight broker.

The Carrier retains responsibility for transportation services performed under its operating authority.

8. Freight Payments

Payments for transportation services remain payable to the Carrier or its authorized payment recipient under the applicable freight agreements.

TW Empireline Logistics does not collect or retain freight revenue from brokers or shippers on its own behalf.

Dispatch service compensation is paid separately by the Carrier in accordance with the applicable written agreement.

9. Insurance and Liability

Motor carriers are responsible for maintaining all legally required insurance coverage for their transportation operations.

This includes applicable automobile liability, cargo insurance, and other coverage required by law or freight agreements.

TW Empireline Logistics is responsible for its own conduct when providing dispatch services.

Each party remains responsible for losses arising from its own negligence, misconduct, or breach of applicable contractual obligations, subject to applicable law.

Specific liability limitations and indemnification arrangements, where applicable, are governed by the signed Carrier Service Agreement.

10. No Guaranteed Revenue or Load Volume

TW Empireline Logistics does not guarantee specific freight rates, load volumes, dedicated lanes, weekly revenue, or profitability.

Any potential earnings figures displayed on our website are provided for general informational purposes.

Illustrative potential weekly gross revenue includes:

  • Semi Trucks: $13,000–$14,000
  • Box Trucks: $7,000–$8,000

These figures are not guaranteed earnings or contractual commitments.

Actual revenue depends on freight market conditions, load availability, operating locations, equipment specifications, carrier preferences, and other business circumstances.

Gross revenue does not represent net profit and does not account for dispatch fees or transportation operating expenses.

11. Confidentiality

TW Empireline Logistics and its carrier clients are expected to protect confidential business information shared during their working relationship.

Confidential information may include:

  • Carrier business records
  • Insurance documents
  • Pricing and freight arrangements
  • Customer and broker information
  • Operating details
  • Financial and administrative documentation

Such information may be shared only as necessary to perform authorized services, with appropriate consent, or as required by law.

12. Service Term and Termination

Dispatch services begin when TW Empireline Logistics and the Carrier enter into an applicable written service agreement.

The duration of services, notice requirements, termination procedures, and any outstanding payment obligations are governed by that agreement.

Either party may terminate services in accordance with the agreed terms.

Services may also be terminated where continued performance would violate applicable law or where another legally recognized ground for termination exists.

Upon termination, TW Empireline Logistics will cease acting under the Carrier’s authorization and reasonably cooperate in transferring outstanding dispatch-related documentation.

Fees properly earned before termination remain payable under the agreed terms.

13. Dispute Resolution and Governing Law

Both parties are encouraged to resolve service-related disagreements through professional communication and good-faith negotiations.

Formal dispute-resolution procedures, jurisdiction, and venue will be determined under the applicable signed agreement, subject to governing law.

Unless otherwise validly agreed, the parties intend that Wyoming law govern their contractual relationship to the extent permitted by applicable law.

14. Changes to Service Terms

TW Empireline Logistics may update the general information published on its website to reflect changes in its services, operations, or legal requirements.

Any changes to an existing signed Carrier Service Agreement must be made in accordance with that agreement.

Website updates do not automatically amend the terms of an existing signed contract.
